Purpose of the Role

The Director, Legal & Corporate Services (DLCS) will serve as the custodian of governance, compliance, and organizational integrity at P4L. Reporting directly to the CEO, the DLCS will oversee legal affairs, corporate governance, compliance frameworks, human resources, administration, and IT infrastructure.

This role requires a leader who can balance regulatory rigor with organizational agility, ensuring that P4L operates within the highest standards of law, ethics, and corporate governance while enabling efficient HR, administrative, and technology systems to support the Fund’s mission

Key Responsibilities

Strategic Leadership & Integration

Provide overarching leadership that integrates HR, Legal, Compliance, and IT into a unified corporate services function that directly supports P4L’s mission of modernizing lagos state’s food supply system
Act as a key advisor to the CEO and Board, ensuring corporate services strategies are aligned with infrastructure development, operational efficiency, and stakeholder expectations.
Champion organizational culture, governance, and digital transformation across the company.

Human Resources & Administration

Lead HR strategy, including talent acquisition, performance management, and succession planning.
Foster a culture of accountability, innovation, and impact across the organization.
Oversee employee relations, compensation, benefits, and training programs.
Manage administrative functions including facilities, procurement, and corporate services.

Legal & Governance

Provide legal advisory on contracts, guarantees, investments, and stakeholder agreements.
Draft, review, and negotiate legal documents including offtake contracts, financing agreements, and partnership MOUs.
Ensure compliance with SEC regulations, Trust Deed provisions, and applicable laws.
Serve as Secretary to governance committees, ensuring proper documentation and execution of resolutions.
Manage litigation, dispute resolution, and regulatory engagements.

Compliance & Risk Oversight

Develop and enforce compliance frameworks covering KYC/AML/CFT, ESG standards, and data protection.
Monitor adherence to Lagos Food Systems ESG standards across operations.
Conduct compliance audits and report breaches with recommended corrective actions.
Ensure alignment with national and international food safety, labor, and environmental regulations.

Digital Transformation & IT Systems

Lead the design and implementation of IT systems that support logistics, supply chain management, and operational efficiency at the Lagos Central Food Security Systems & Logistics Hub.
Ensure cybersecurity, data governance, and reliable IT infrastructure.
Drive digital innovation to enhance transparency, efficiency, and impact measurement across LAFSINCO’s operations.

Organizational Effectiveness

Establish corporate policies, procedures, and standards that ensure operational excellence across all directorates.
Monitor and evaluate the performance of corporate services functions, ensuring continuous improvement.
Promote cross-functional collaboration to break silos and enhance organizational agility.

Mission Alignment & Social Impact

Ensure that corporate services strategies reinforce LAFSINCO’s mandate to reduce food waste, lower costs, and improve access to nutritious food.
Embed sustainability and social responsibility into HR, communications, and IT practices.
Support impact measurement frameworks that demonstrate LAFSINCO’s contribution to Lagos’ food security goals.

Stakeholder Engagement

Act as the primary legal and compliance interface with regulators, trustees, DFIs, and institutional partners.
Provide governance and compliance support to the Investment Committee, Advisory Board, and Lagos State Government.

Lead sensitization and training programs on compliance, governance, and ethical standards.

Qualifications & Certifications

· Advanced degree in Law, Business Administration, or related field (LLM/MBA preferred).

· Membership of the Nigerian Bar Association and relevant professional certifications (e.g., ICSAN, CIPM).

Experience Required

· Minimum of 20 years’ senior leadership experience in legal, compliance, HR, or corporate services.

· Proven track record in corporate governance, compliance, and organizational leadership.

· Strong expertise in contract law, regulatory compliance, and dispute resolution.

· Experience managing HR, administration, and IT functions in complex organizations.

· Exceptional leadership, negotiation, and stakeholder management skills.
